By accessing our website, initiating contact, or entering into a collaboration agreement with MemeFactory, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of a business entity, you represent that you have authority to bind that entity.
MemeFactory provides collaboration services related to cryptocurrency token creation, community building, marketing, and related Web3 services ("Services"). We operate on a revenue-share collaboration model where compensation is derived from token allocations rather than upfront fees. Specific terms for each collaboration are agreed upon individually in a separate written agreement.

Any collaboration between you and MemeFactory is governed by a separate written collaboration agreement. These Terms apply in addition to that agreement. In the event of a conflict, the written collaboration agreement controls. We reserve the right to decline any collaboration request at our sole discretion.
Token allocations received by MemeFactory as part of any collaboration are subject to vesting schedules as agreed in writing. MemeFactory makes no representations regarding the future value of any token. We are not responsible for market conditions affecting token value after launch.
As a collaboration partner, you agree to:
All content on the MemeFactory website — including text, graphics, logos, and code — is the property of MemeFactory and protected by intellectual property laws. Brand assets, logos, and creative materials produced for your token collaboration are jointly owned unless otherwise specified in your written agreement.
To the maximum extent permitted by law, MemeFactory and its team members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our Services or the performance of any token launched through our collaboration.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total value of any fiat consideration exchanged under your collaboration agreement, if any.
You agree to indemnify, defend, and hold harmless MemeFactory, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
You are solely responsible for ensuring that your participation in any token launch complies with all applicable laws in your jurisdiction, including securities regulations, consumer protection laws, advertising standards, and tax obligations. MemeFactory does not provide legal advice and expressly disclaims responsibility for your regulatory compliance.
Either party may terminate a collaboration agreement as specified therein. MemeFactory reserves the right to discontinue Services or terminate access to our website at any time, with or without notice, for any reason.
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising hereunder shall be resolved through binding arbitration, except where prohibited by law.
We may update these Terms at any time. Continued use of our website or Services after changes are posted constitutes acceptance of the updated Terms. We will update the "Last updated" date at the top of this page.
